NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THE SWEEPSTAKES IS OPEN ONLY TO LEGAL U.S. RESIDENTS WHO ARE 18 YEARS OF AGE OR OLDER RESIDING IN NY, CT, OR NJ AND ARE WITHIN A 150 MILE RADIUS OF MADISON SQUARE GARDEN. DO NOT ENTER THIS SWEEPSTAKES UNLESS YOU ARE ELIGIBLE.

1. SWEEPSTAKES PERIOD: Sweepstakes begins at 12:00:00 a.m. Eastern Time (“ET”) October 5, 2026 and ends at 11:59:59 p.m. ET on December 31, 2026. (the “Sweepstakes Period”).

2. HOW TO PARTICIPATE: During the Sweepstakes Period, there are two (2) ways to enter:
(a) PURCHASE ENTRY: Purchase any PEPSI® branded product (the “Qualifying Purchase”), while supplies last, then look for the code on 2026 PEPSI® x KNICKS SWEEPSTAKES display materials, at a participating retail location, and scan the QR Code to be taken to www.pepsipromos.com/knicks (the “Website”) to enter from your mobile device or visit the Website to enter from your computer. Once on the Website, follow the on-screen directions provided to enter your contact information, upload an image of your Qualifying Purchase receipt and submit an entry (an “Entry”). Prior to taking a photo of your Qualifying Purchase receipt, circle the Pepsi product and write your initials next to it. Ensure the retailer, date, time and receipt total are visible on the receipt in order for it to be validated. Receipt must be dated during the Sweepstakes Period to be eligible. Receipt Entries must be received by 11:59:59 p.m. ET on 12/31/2026 to be eligible for the drawing.

A Qualifying Purchase receipt may only be used once. Limit one (1) Entry per receipt regardless of the quantity of Qualifying Purchases shown on the receipt. Entries that appear to duplicate any other submitted Receipts, in Sponsor’s sole discretion, will be void and only the first Entry submitted (based on time/date) will be entered into the applicable drawing. Entries generated by script, macro or other automated means or in violation of these Official Rules will be void. In the event of a dispute as to the identity of a participant, participant will be deemed the individual named on the email address from which the Entry was submitted, and such individuals must meet all eligibility requirements set forth herein and otherwise comply with these Official Rules. In the event of non-compliance with any requirements specified herein, Entry will be void.

(b) TO ENTER WITHOUT PURCHASE: To enter without making a purchase, visit pepsipromos.com/Knicks (the “Website”) and follow the on-screen instructions to properly complete and submit an online entry. Once you have provided the required information, click “ENTER” to receive an Entry.

Limit one (1) Entry per person or email address, per day, regardless of entry method. A “day” is defined as a twenty-four (24) hour time period beginning at 12:00:00 a.m. ET and ending at 11:59:59 p.m. ET. The time clock of the Sweepstakes Administrator is the official clock for this Sweepstakes. Entries become the property of Sponsor and may not be acknowledged. Automated and/or repetitive electronic submission of Entries (including but not limited to Entries made using any script, macro, bot or sweepstakes service) will be disqualified.

3. ELIGIBILITY: YOU MUST BE A LEGAL U.S. RESIDENT RESIDING IN NEW YORK, CONNECTICUT, OR NEW JERSEY WITHIN A 150 MILE RADIUS OF MADISON SQUARE GARDEN, LOCATED AT 4 PENNSYLVANIA PLAZA, NEW YORK, NY, THROUGHOUT THE SWEEPSTAKES PERIOD AND 18 YEARS OF AGE OR OLDER AT THE TIME OF ENTRY. Potential winners may be required to provide proof of legal U.S. residency if requested by Sponsor to determine eligibility and as a condition of prize award. The following persons are not eligible to participate or win: Any individuals (including but not limited to employees, consultants, independent contractors and interns) who have, within the past six months, held employment with or performed services for Pepsi-Cola Company (“Sponsor”), its bottlers, PepsiCo, Inc., NBA Properties, Inc., the National Basketball Association (the “NBA”), NBA Media Ventures, LLC and the NBA member teams (collectively, the “NBA Entities”), MSG Sports, LLC (“MSGS”), New York Knicks, LLC (“Knicks”), MSG Entertainment Holdings, LLC (“MSGE”) (collectively with MSGS and Knicks, “MSG”), or any of their respective subsidiaries and affiliated companies, participating retailers, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Sweepstakes (collectively, “Promotion Parties”), and the immediate family members (spouse, parent, child, sibling, grandparent, and/or “step”) of each and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Sweepstakes).

4. PRIZES: Forty-seven (47) prizes will be awarded, each consisting of two (2) game tickets for the winner and guest to attend a New York Knicks game during the 2026-2027 season at Madison Square Garden (game date TBD and at Sponsor’s sole discretion). Prize Conditions apply; see below. Approximate Retail Value (“ARV”) of each prize: $450.00. ARV of all prizes to be awarded $21,150.00

Prize Conditions: Transportation, accommodations, parking and meals, gratuities, souvenirs, and all other expenses not specified herein are solely the winner’s responsibility. A minor child may accompany winner as a guest only if minor’s parent or legal guardian is the winner. Minors must be accompanied by an adult at all times. Game is subject to change and cancellation. Winner will not receive compensation from Sponsor or the Promotion Parties in the event of a game delay, postponement, or cancellation. The terms and conditions of the tickets awarded as prizes will govern in the event the game is not played due to weather, an Act of God, an act of terrorism, civil disturbance, work stoppage or any other reason. Tickets awarded as prizes may not be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and prize forfeiture. Tickets are subject to certain terms, conditions, and restrictions as set by issuer. Ticket redemption will require a mobile ticketing app and is subject to terms and conditions of such mobile ticketing platform. Winner will be required to provide a valid email address, download the applicable mobile ticketing app to their mobile device, and present tickets at the venue via mobile device. Data rates may apply. WiFi available at venue. Winner is solely responsible for any such wireless or data charges associated with such use, including the downloading and use of a mobile ticketing app. Seating assignments at the game are in Sponsor’s sole discretion. Sponsor and the Promotion Parties are not liable for any missed events or opportunities or expenses incurred because of any transportation delay or in the event winner and/or a guest is late to the game (through no fault of Sponsor and Promotion Parties, or due to a Force Majeure Event). Winner and guest may be required to produce government-issued identification prior to entering the game. Winner agrees to comply with all NBA Entities’, MSG, and venue policies and regulations, including without limitation, all health and safety protocols, at all times. Sponsor and Promotion Parties reserve the right to remove or to deny entry to winner and/or guest who engages in illegal behavior or in a non-sportsmanlike or disruptive manner, or behaves with the intent to annoy, abuse, threaten or harass any other person at the game. Winner agrees that acceptance of the prize is done so entirely upon their own initiative, risk, and responsibility. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. Winners agree to abide by any terms, conditions and restrictions provided by the ticket. All ticket holders must be eligible and able to attend the game for which tickets have been issued. If a winner is unable or ineligible to attend the game on the date specified by Sponsor, the prize will be forfeited. All prize details are at Sponsor’s sole discretion.

5. SWEEPSTAKES DRAWING/ ODDS: Potential prize winners will be selected in a random drawing to be held on or about January 4, 2027. Odds of winning depend on the total number of eligible entries received throughout the Sweepstakes Period. The random drawing will be conducted by the Administrator (as defined below) whose decisions shall be final. Odds of winning is based on the number of eligible entries received during the Sweepstakes Period. Limit one (1) prize per person, email address or household.

6. WINNER NOTIFICATION: Potential winners will be notified by phone call and/or email at the phone number or email address provided by the entrant at the time of entry within five (5) days of the drawing. Prize Winners may be required to sign and return an Affidavit of Eligibility/Liability Release (where lawful), W-9 Form and other requested paperwork within three (3) days of attempted winner notification. Sponsor and Promotion Parties are not responsible for suspended or discontinued wireless, land line or online service which may result in a potential winner not receiving initial prize notification. Upon forfeiture for any reason as stated within these Official Rules, no compensation will be given. Prizes will only be awarded to verified winners residing within an eligible state.

If any potential winner is (i) disqualified, found to be ineligible or not in compliance with these Official Rules; (ii) declines to accept a prize; (iii) does not reply to notification as stated above; or, (iv) does not return the documents within the stated time frame, the prize may be forfeited and an alternate winner selected in a random drawing from among all remaining eligible entries, as determined by Sponsor in its sole discretion. If, after a good-faith attempt, Sponsor is unable to award or deliver a prize, the prize may not be re-awarded. Any portion of a prize not accepted by winner will be forfeited. Winners shall be solely responsible for payment of any and all applicable federal, state, and local taxes for their prize won. Any difference between stated approximate value of prize and actual value of prize will not be awarded. Sponsor is not responsible for any undelivered e-mails, including without limitation, e-mails that are not received because of a winner’s privacy or spam filter settings which may divert any Promotion e-mail, including any winner notification e-mail, to a spam or junk folder. Prizes that are unclaimed, unredeemed, or returned as undeliverable will not be awarded. Promotion Entities shall not be held responsible for any delays in awarding the prize for any reason.

7. GENERAL: Void where prohibited. This Sweepstakes is governed by the laws of the United States and of the State of New York, without respect to conflict of law doctrines. No substitution of prize is offered, no transfer of prize to a third party is permitted and non-cash prizes may not be redeemed for cash value, except as determined by Sponsor, in its sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value in the event any portion of the prize becomes unavailable. As a condition of participating in this Sweepstakes, you agree that any and all disputes which cannot be resolved between the parties and causes of action arising out of or in connection with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in New York having jurisdiction. Further, in any such dispute, under no circumstances will entrants be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys’ fees, other than entrants’ actual out-of-pocket expenses (e.g. costs associated with participating), and entrants further waive all rights to have damages multiplied or increased. Prize winners will be solely responsible for paying all applicable federal, state and local taxes on prize. If applicable, winner will receive an IRS Form 1099 for the retail value of the prize. No groups, clubs or organizations may enter or win prizes. Allow 6-8 weeks from the drawing date for fulfillment of prizes. Tickets will be sent digitally via the email provided with Entry.

8. CONDUCT: By participating in this Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the Sponsor that shall be final and binding in all respects. Failure to comply with these Official Rules may result in disqualification. Sponsor and Sweepstakes Administrator reserve the right, at its sole discretion, to disqualify any individual found to be tampering with the entry process or the operation of the Sweepstakes or Website; or to be acting in any manner deemed by Sponsor to be in violation of the Official Rules; or to be acting in any manner deemed by Sponsor to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY EQUIPMENT OR WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

9. LIMITATIONS OF LIABILITY: Sponsor and the Promotion Parties assume no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes; or (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Sweepstakes; (d) inaccessibility or unavailability of any network or wireless service, the Internet or the Website or any combination thereof; (e) suspended or discontinued Internet, wireless or land line phone service; or (f) any injury or damage to entrants or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Sweepstakes or download of any materials in the Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, then Sponsor reserves the right at their sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part. In the event of any such cancellation, termination or suspension, Sponsor reserves the right to award any remaining prizes (up to the total set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor, such as by way of example and not by way of limitation, in a random drawing(s) may be held from among all eligible, non-suspect entries received prior to such time. Sponsor reserves the right, at its sole discretion, to disqualify any entrant (and all of his/her entries) from this Sweepstakes or any other promotion conducted now or in the future by Sponsor or any of their affiliates if he/she tampers with the entry process or if his/her fraud or misconduct affects the integrity of this Sweepstakes. Sponsor may modify and amend these Official Rules as they appear online from time to time during the Promotion Period for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.

10. RELEASE OF LIABILITY: All entrants, as a condition of participation, and all winners, by acceptance of a prize, agree to release Sponsor, and the Promotion Parties from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with submitting an entry or otherwise participating in any aspect of the Sweepstakes, the receipt, ownership or use or misuse of any prize awarded, or while preparing for, participating in attending the game, and/or traveling to and from any prize-related activity or any typographical or other error in the printing of these Official Rules or the offering or announcement of any prize. The winners shall bear all risk of loss or damage to their prizes and/or prize documentation after it has been delivered. Except where prohibited by law, winner grants to Sponsor and Promotion Parties the right to print, publish, broadcast and use worldwide in any media now known (including without limitation use online at the Website or hereinafter known, the winner’s name, voice, statement, picture or other likeness, without additional compensation, for public relations, advertising and promotional purposes as may be determined by Sponsor or Promotion Parties.
